Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Winito Inc. ("Winito," "Company," "we," "our," or "us") governing your access to and use of CasaButler, a product of Winito Inc., including the mobile application and related services (collectively, the "Services").

By creating an account or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Services.

Description of Services

CasaButler is a home services management platform that helps homeowners organize communications with service providers. When you sign up, you receive a unique email address (@casabutler.ai). You can:

  • CC your butler email on communications with service providers
  • Forward existing emails to your butler address

Our AI-powered system automatically processes these emails to:

  • Identify and catalog your service providers (vendors)
  • Extract billing information and due dates
  • Organize communications into threads
  • Store attachments and documents
  • Provide spending insights and bill reminders

Eligibility

To use our Services, you must:

  • Be at least 13 years of age
  • If under 18, have reviewed these Terms with a parent or guardian
  • Have the legal capacity to enter into a binding agreement
  • Not be prohibited from using the Services under applicable law

By using the Services, you represent and warrant that you meet these eligibility requirements.

Account Registration

To access our Services, you must create an account. You agree to:

  • Provide accurate, current, and complete registration information
  • Maintain the security and confidentiality of your login credentials
  • Promptly update your information if it changes
  • Notify us immediately of any unauthorized access to your account
  • Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or contain false information.

Acceptable Use

You agree to use the Services only for lawful purposes. You may NOT:

  • Forward or CC emails that you do not have the right to share
  • Use the Services for any illegal purpose or in violation of any laws
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the Services or servers
  • Use automated systems (bots, scrapers) to access the Services without permission
  • Reverse engineer, decompile, or attempt to extract source code from our software
  • Use the Services to send spam or unsolicited communications
  • Upload malicious code, viruses, or harmful content
  • Impersonate any person or entity
  • Harass, abuse, or harm others through use of the Services

Email Processing and AI

By using CasaButler, you consent to AI processing of emails you send to your butler address.

When you CC or forward emails to your butler address:

  • You represent that you have the right to share that content
  • You consent to our storage of the complete email content
  • You consent to AI analysis by third-party providers (such as OpenAI or Anthropic)
  • You understand that AI processing is essential to the Services and cannot be disabled

Important: While we strive for accuracy, AI-extracted information may contain errors. You are responsible for verifying important details such as payment amounts, due dates, and appointment times. Do not rely solely on CasaButler for critical financial or scheduling decisions.

User Content

"User Content" means any emails, documents, attachments, or other materials you submit to the Services.

Ownership: You retain ownership of your User Content. We do not claim ownership of your emails or documents.

License: By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, process, store, and display that content solely to provide the Services to you. This license terminates when you delete your account.

Responsibility: You are solely responsible for your User Content and the consequences of submitting it. Do not submit content that is illegal, infringing, or violates third-party rights.

Intellectual Property

The Services, including all software, designs, text, graphics, logos, and other content created by CasaButler, are owned by us and protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable license to use the Services for personal, non-commercial purposes in accordance with these Terms.

You may not:

  • Copy, modify, or distribute our content without permission
  • Use our trademarks or branding without written consent
  • Create derivative works based on our Services

Third-Party Services

Our Services may integrate with or contain links to third-party services, including:

  • AI processing providers (for email analysis)
  • Cloud storage providers
  • Authentication services
  • Analytics platforms

Your use of third-party services is governed by their respective terms and privacy policies. We are not responsible for the content, accuracy, or practices of third-party services.

Fees and Payment

CasaButler may offer free and paid subscription tiers. If you purchase a paid subscription:

  • You agree to pay all applicable fees
  • Subscriptions may automatically renew unless cancelled
  • Prices are subject to change with notice
  • Refunds are provided in accordance with applicable law

Current pricing and features are available in the app. We reserve the right to modify pricing with reasonable notice.

Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Services will be uninterrupted, secure, or error-free
  • AI-extracted information will be accurate or complete
  • The Services will meet your specific requirements
  • Any errors will be corrected

CasaButler does not provide financial, legal, or tax advice. Information displayed about bills, spending, and services is for organizational purposes only. Consult appropriate professionals for financial or legal decisions.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WINITO INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, data, or goodwill
  • Service interruptions
  • Computer damage or system failures
  • Errors in AI-processed information
  • Missed payments or appointments due to inaccurate information

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow limitation of liability for certain damages, so some of the above limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless Winito Inc. and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any third-party rights
  • User Content you submit

Dispute Resolution

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Binding Arbitration

Any dispute, claim, or controversy arising from or relating to these Terms or the Services shall be resolved by binding arbitration, rather than in court, except that you may assert claims in small claims court if they qualify.

Arbitration shall be conducted by a neutral arbitrator in accordance with the rules of the American Arbitration Association (AAA). The arbitration shall take place in Delaware or, at your election, may be conducted remotely.

Class Action Waiver

YOU AND WINITO INC. AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.

Opt-Out

You may opt out of this arbitration agreement by sending written notice to legal@casabutler.ai within 30 days of first accepting these Terms. If you opt out, the Governing Law section below will apply.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

For any disputes not subject to arbitration, you agree to submit to the exclusive jurisdiction of the state and federal courts located in Delaware.

Termination

By You: You may terminate your account at any time through the app settings or by contacting us. Upon termination, your data will be deleted in accordance with our Privacy Policy.

By Us: We may suspend or terminate your access to the Services at any time, with or without cause, with or without notice. Reasons for termination may include:

  • Violation of these Terms
  • Fraudulent or illegal activity
  • Extended period of inactivity
  • Request by law enforcement
  • Discontinuation of the Services

Upon termination, your right to use the Services will immediately cease.

Modifications to Terms

We reserve the right to modify these Terms at any time. When we make changes:

  • We will update the "Last updated" date
  • We will notify you through the app for material changes
  • Continued use after changes constitutes acceptance

If you do not agree to modified Terms, you must stop using the Services and delete your account.

Modifications to Services

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Services.

General Provisions

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Winito Inc. regarding the Services.

Severability: If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.

Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

Assignment: You may not assign your rights under these Terms without our consent. We may assign our rights without restriction.

Notices: We may provide notices through the app, email, or posting on our website.
